These Terms of Service (the “Terms”) govern your access to and use of TaqOff (the “Service”), offered by TaqOff, Inc. (“TaqOff”, “we”, “us”, or “our”). By creating an account, clicking accept, or using the Service, you agree to these Terms. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity and “you” means that entity.
1) Eligibility & Accounts
- You must be at least 18 and able to form a binding contract.
- You are responsible for your account credentials and all activity under your account.
- Keep your info accurate; notify us immediately of unauthorized use.
2) The Service
TaqOff converts blueprint plans into structured measurements and estimate-ready data with optional email integrations for outreach and status updates. Features may include file uploads, OCR, geometry extraction, takeoff calculators, exports, dashboards, and third-party integrations (e.g., Google/Gmail, Microsoft/Outlook, cloud storage, Stripe, Resend). We may add, change, or remove features over time.
3) Acceptable Use
You will not:
- Use the Service for unlawful purposes, spam, harassment, or to violate third-party rights.
- Reverse engineer, circumvent quotas, or probe security/availability.
- Upload infringing/confidential content without authorization, or malware.
- Misrepresent scale or measurements in bids without independent verification.
- Abuse API keys, automations, or rate limits.
We may throttle, suspend, or terminate for violations.
4) Customer Content & Outputs
- Customer Content. You retain ownership of content you upload. You grant TaqOff a worldwide, non-exclusive license to host, process, analyze, and display it only to provide and improve the Service (quality, safety, security).
- Outputs. You own outputs generated for you. Outputs are provided “as-is” and may contain inaccuracies; you must verify measurements, costs, and compliance before relying on them.
- Feedback. You grant us a perpetual, irrevocable license to use feedback for improvement without obligation.
5) Email & Third-Party Integrations
- If you connect Gmail/Google Workspace, Outlook/Microsoft 365, cloud storage, or other services, you authorize TaqOff to process data from those services as configured by you.
- You must comply with third-party terms and anti-spam laws (e.g., CAN-SPAM, CASL, GDPR e-privacy).
- You’re responsible for email content/consents and honoring unsubscribes.
- Integrations are “as available”; we aren’t liable for third-party outages/changes.
6) Privacy & Security
- Our Privacy Policy explains how we collect and use personal data.
- We use reasonable safeguards; no system is perfectly secure.
- We may use vetted subprocessors (hosting, email, monitoring).
7) Plans, Fees, Trials, Taxes
- Paid plans bill in advance unless stated otherwise; you authorize charges incl. taxes/overages.
- Trials/promos may include expiring credits or limits.
- Fees are non-refundable except where required by law or in a stated refund policy.
8) Service Changes & Availability
We may update/discontinue features, impose reasonable limits, or restrict access for maintenance, security, or legal reasons. High availability is a goal, not a guarantee.
9) Beta / Pre-Release
Beta features are provided as-is, may be unstable, and may be removed.
10) Term & Termination
- Terms begin on first use and continue until ended.
- Cancel anytime in settings; effective at period end.
- We may suspend/terminate for breach, risk, fraud/abuse, or non-payment.
- After termination, access ends. We may retain limited data as required by law/billing. We will provide a reasonable export window upon request unless legally/technically restricted.
11) Publicity
We may use your name/logo to identify you as a customer unless you opt out at legal@taqoff.com.
12) Warranties & Disclaimers
THE SERVICE (INCLUDING OUTPUTS) IS PROVIDED “AS-IS” AND “AS AVAILABLE.” TAQOFF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROVIDE PROFESSIONAL ENGINEERING/ARCHITECTURE/LEGAL ADVICE. NOT FOR SAFETY-CRITICAL USES.
13) Limitation of Liability
- Indirect Damages. No liability for indirect, incidental, special, consequential, exemplary, or punitive damages; or lost profits, revenue, data, or business interruption.
- Cap. Total liability is capped at the greater of (i) amounts paid by you in the prior 12 months, or (ii) US $100.
14) Indemnification
You will defend, indemnify, and hold harmless TaqOff and its officers, directors, employees, and affiliates from claims arising out of your use, Customer Content, violation of law/Terms, or use of integrations.
15) Intellectual Property
We retain all rights in the Service (software, UI, models, designs, docs), except for Customer Content and your Outputs.
16) DMCA / IP Complaints
Send notices to legal@taqoff.com with: (i) identification of the work; (ii) the allegedly infringing material; (iii) contact info; (iv) a good-faith statement; and (v) a statement under penalty of perjury of authority.
17) Export & Sanctions
Comply with applicable export control and sanctions laws; no use where prohibited.
18) Government Use
The Service/documentation are “Commercial Items” (FAR 2.101). Rights are provided only as set forth in these Terms.
19) Assignment
You may not assign without our consent; we may assign as part of a corporate transaction.
20) Notices
We may notify via email or in-product. Legal notices to legal@taqoff.com; support to support@taqoff.com.
21) Governing Law; Dispute Resolution
- Governing Law. Delaware, USA (excluding conflicts of law rules).
- Arbitration. Binding arbitration administered by JAMS in English, by a single arbitrator, in Wilmington, DE, or remotely unless otherwise agreed.
- Class Waiver. Disputes must be brought individually (no class actions).
- Either party may seek injunctive relief for IP/confidentiality breaches.
22) Changes to Terms
We may update Terms by posting a revised version. Continued use means acceptance.
23) Entire Agreement; Miscellaneous
These Terms (plus referenced policies/orders) are the entire agreement and supersede prior agreements. If any provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. Neither party is liable for force-majeure delays.
